When Business Partners Reach an Impasse, Mediation Can Help Move the Business Forward

Business partnerships often begin with a shared vision, complementary skills, and the excitement of building something together. In some cases, a business grows faster than its owners anticipated, creating success before the partners have established clear expectations about how the company will operate, how decisions will be made, and how disagreements will be resolved.

What started as an informal arrangement can evolve into a complex business without the corporate governance documents, operating agreements, or clearly defined management responsibilities needed to support its continued growth.

Over time, differences in business strategy, management philosophy, financial decisions, ownership responsibilities, or the future direction of the company can create significant tension. When those differences reach a stalemate, the business itself can suffer. Important decisions remain unresolved, relationships deteriorate, and the partners may struggle to identify a path forward that protects both the company and their individual interests.

Business partner mediation can provide a structured, confidential process for addressing these challenges and helping owners move beyond an impasse.

Understanding the Issues Behind the Impasse

As a mediator, I meet with the relevant business partners and members of management, both together and separately, to understand the issues underlying the disagreement. In joint meetings, I help establish a constructive environment in which participants can identify the business challenges, discuss their perspectives, and consider the decisions necessary to move the company forward.

Separate, confidential meetings give each participant an opportunity to discuss concerns, objectives, and potential solutions more openly, including issues they may be reluctant to raise in front of their business partners.

These private discussions help me gain a fuller understanding of the dispute from each participant’s perspective. I protect the confidentiality of those discussions, subject to applicable law, and obtain permission before sharing a participant’s private disclosures with the other participants. I draw on this understanding, together with my training, experience, and education as a mediator, attorney, and business executive, to help the parties explore practical and sustainable solutions.

Following the individual meetings, I bring the participants back together, as appropriate, to work through the issues and explore a mutually acceptable path forward. Depending on the circumstances, this may involve clarifying management responsibilities, developing a framework for future decisions, addressing disagreements about the company’s direction, or establishing a process for resolving future disputes before they threaten the stability of the business.

Evaluating a Possible Resolution

In some situations, the information gathered during mediation may reveal a possible solution for the participants to consider. With appropriate attention to confidentiality and the parties’ consent, I may develop a mediator’s proposal outlining a potential course of action, a framework for moving the business forward, or key provisions to consider in a long-term agreement between the partners.

A mediator’s proposal gives the parties a structured opportunity to evaluate a potential resolution and determine whether it addresses their shared and individual interests. It does not impose a decision. The partners remain responsible for deciding whether to agree and what terms they are willing to accept.

Clarifying the Partnership as the Business Grows

Consider business partners who started a company informally, perhaps based on a shared idea or opportunity, and whose business grew beyond their original expectations. As the company expands, they may discover that they never fully addressed ownership, authority, compensation, financial decisions, or management responsibilities. The absence of formal corporate governance documents or a comprehensive operating agreement can turn once-manageable differences into serious disputes.

Mediation can help these partners address unresolved issues and work toward a more clearly defined long-term relationship. This may include identifying where formal agreements or updated governance documents are needed, clarifying the partners’ roles and expectations, and discussing how the company should be managed and how future disagreements should be addressed.

Where appropriate, I can help the parties identify the business and legal issues to address in formal documentation. My role as mediator remains neutral; independent legal counsel can advise the partners and prepare or review formal documents as needed.
